Welcome to www.Vocabulix.com, the community oriented website that provides languages resources for German, Spanish, English, French and Italian and a platform for creating other foreign language lessons and resources by users online for tutorial purposes ("Vocabulix").

Please read carefully the following terms and conditions (the "Terms", or the "Terms of Use"). By using Vocabulix, or by registering as a user with Vocabulix, you agree to be bound by the Terms. If you do not agree with the Terms, you may not use Vocabulix.

The English version of the Terms of Use is the only valid and legally binding version.

The content on Vocabulix, including any text, images and audio (the "Content"), is made available for tutorial purposes only, mostly BY VOCABULIX ITSELF AND by ITS users. THEREFORE IT SHOULD BE TREATED WITH THE NECESSARY CAUTION. IF YOU DECIDE TO RELY UPON THE CONTENT POSTED ON vocabulix OR TO ACT THEREUPON, YOU BEAR THE FULL AND SOLE RESPONSIBILITY TO YOUR ACT AND TO THE RESULTING CONSEQUENCES. vocabulix does not endorse, or in any manner assume any responsibility that the content, including any translation of words in vocabulary lessons, exercise, illustration or audio pronunciation, is correct, accurate, topical or fitted, as APPROPRIATE on Vocabulix.

You also may find on vocabulix advertisements and links to other third party services, sometimes accompanied with users' recommendations to such services. vocabulix does not assume any responsibility for such services and for any outcome resulting from your communications and/or transactions with such third parties.

The Services

Vocabulix is a website that provides language learning resources for German, Spanish, English, French and Italian as a second or foreign language. Vocabulix is available in 5 GUI languages: German, Spanish, English, French and Italian. Vocabulix focuses primarily on vocabulary building and practice in verb conjugation through exercises to be completed by users online. Users can select the vocabulary lessons they wish to take by level or topic, and the conjugation drills by verb. There are over 80 predefined vocabulary lessons on Vocabulix each of them contains 25 words. Additionally, Users can create their own foreign language lessons by inserting words and sample sentences and share them with other online users (also: French, Italian, Portuguese, Czech...). In addition Vocabulix features an online dictionary and verb conjugation tables as a resource for language studies.

Part of the services on Vocabulix requires registration. For example, saving your lessons and results, creating your own lessons, participating in Vocabulix' forum, creating your profile and uploading your image thereto, writing posts in your blog, etc. All Content posted on Vocabulix by users is displayed to all Internet users.

When creating your own lesson as a registered user, your lesson may be shared with other users online only if you originally created the lesson and you marked it accordingly. If your lesson is based on certain other sources, then you must provide Vocabulix the name of all sources of your lesson (e.g., book, website, etc.). In such cases, you will be the only user with access to the lesson. You may not infringe third parties rights in any content. (For further information, please see the Intellectual Property section below).

As a registered user on Vocabulix, you may access the existing user-created lessons; you may find friends on Vocabulix' social network and expand your vocabulary in the languages mentioned above and other foreign languages by exercising lessons and communicating with friends on Vocabulix' forum and blog. (All together: the "Services").

Acceptable use of Vocabulix

Subject to the Terms of Use, and provided that you are at least 18 years old, you may access, use and upload Content, and use all the Services available on Vocabulix.

You agree to abide by all applicable local and international laws, regulations and rules. You further agree that you are solely responsible for all acts or omissions associated with your access and use of Vocabulix and the access and use of Vocabulix by anyone on your behalf.

When using Vocabulix, You agree to refrain from willfully, or carelessly –

• breaching the Terms or any other applicable rules and instructions that we may convey with respect to the use of Vocabulix;

• interfering with or disrupting the functionality of Vocabulix;

• circumventing or manipulating the operation, or functionality of the Services;

• posting false, inaccurate, or misleading Content;

• posting Content which is not compatible with the defined topics, or with the rules of behavior, in any of the Services;

• using robots, crawlers and similar applications to collect and compile Content from Vocabulix, for the purposes of competing with Vocabulix, or in such ways that might impair or disrupt Vocabulix' functionality;

• displaying Vocabulix or any part thereof in an exposed or concealed frame, or linking to elements on Vocabulix, such as images, independently from the web pages on which they originally appear; unless by using our official widgets.

• impersonating any person or entity, or making any false statement pertaining to your identity, employment, agency or affiliation with any person or entity;

• collecting or processing personal information of Vocabulix users without their explicit consent;

• posting commercial Content, including advertisements, sponsorships, solicitations, endorsements and public relations material, except as expressly permitted and in designated zones only;

• posting, disseminating, transmitting or otherwise communicating through, or to Vocabulix, or making available any Content on Vocabulix, or when using Vocabulix or any of the Services, Content which may reasonably be deemed as:

(1) Infringing or violating intellectual property rights of other parties, including patents, copyrights and trademarks;

(2) Identifying minors, their personal details or their address and ways to contact them;

(3) Software viruses, Trojan Horses, Worms, Vandals, Spyware and any other Malicious Applications;

(4) Encouraging, supporting, assisting, providing instructions or advising in the committing of a criminal offense, under the applicable laws;

(5) Constituting a violation of a person's right for privacy or right of publicity;

(6) Prohibited by any applicable law, including court restraining orders, to be posted, published, disseminated, or otherwise made available to the public;

(7) Threatening, abusive, harassing, defamatory, libelous, vulgar, obscene or racially, ethnically or otherwise objectionable;

(8) Unsolicited commercial communications ('spam'), chain letters, or pyramid schemes.

User generated Content

We encourage free speech and open discussion on Vocabulix. However, you may post Content on Vocabulix subject to these Terms only.

We may review posted Content and delete, remove, block access to it, or refuse to post it on Vocabulix, for any reason that we may consider to be justified in our sole discretion, including:

(1) preventing misuse of the Services;

(2) when we deem the Content to be in breach of the Terms, or an infringement of any applicable law;

(3) when your user account is canceled, either by yourself or by us;

(4) when pursuant to the Terms, the owner of Content that you have posted wishes it to be removed, whether as result of a person's complaint, or of our own initiative;

(5) when the Content you posted is not accurate, topical, correct, compatible or fitted to a certain word you wish to translate and/or explains its meaning;

We encourage you to treat Content posted on the internet, including the Content posted by other users on Vocabulix, with caution and discretion. Such Content may be posted by users and not on our behalf and we cannot guarantee its accuracy, credibility, authenticity, validity, integrity or legality.

We do not warrant or guarantee that any Content that you wish to post on Vocabulix will be posted or that we will post it indefinitely.

We may also delete Content after a certain period of time from initial posting. Consequently, you might not find Content that you or any other user previously posted on Vocabulix.

Registration and User account

Vocabulix serves all internet users. However, certain services may be available to registered users only, as previously mentioned.

By registering you represent and warrant that you are 18 years of age or older.

Registration with Vocabulix is free of charge. However, we charge fees for some features, lessons or services. These fees may be one-time fees (with single payment transactions) or subscription-based fees (using recurring payment). Fees and price structures for these features, lessons and services may change occasionally and might be different at any given time based on the user's location. We will require such fees only following the posting of prior notice on Vocabulix, but we are under no obligation to notify you in person of any change in our registration policy. If you do not consent to the terms in the notice, or fail to settle your required fees to our satisfaction, then your account on Vocabulix shall be terminated.

When you register with Vocabulix we will ask you to provide us with certain contact and personal details. Bear in mind that false, incorrect, or out dated information may prevent you from registering and impair our ability to provide you with the Services and to contact you. We will explicitly indicate the fields for mandatory completion. If you do not enter the requisite data in these fields, you will not be able to register with Vocabulix.

To login, you must use your user name or email and password. Alternatively, we may provide you with a password for accessing your account on Vocabulix. We may also establish and require from time to time additional or different means of identification and authentication for logging in and accessing your account, or for accessing certain services on Vocabulix.

You agree to maintain your password in absolute confidentiality and refrain from disclosing it to others. Make sure that you change your password frequently and at least once every six months.

You are fully accountable for any outcome resulting from your failure to provide true, accurate and complete details in the course of the registration process, and for any use or misuse of your account on Vocabulix as a result of conveying your details to someone else.

You may terminate your account at any time, Loggin into your account, edit your details and press the “Delete account” link. Notwithstanding any remedies that may be available to us under any applicable law, we may temporarily or permanently deny, limit, suspend, or terminate your user account, prohibit you from accessing Vocabulix, remove Content that you have posted on Vocabulix and take technical and legal steps to keep you off Vocabulix, if we think that -

• you have abused your rights to use Vocabulix; or

• you have breached the Terms; or

• you deliberately submitted false information; or,

• you deliberately posted Content which is not accurate, topical, correct, compatible or fitted as a translation or explanation to words on Vocabulix; or,

• you have performed any act or omission that violates any applicable law, rules, or regulations; or,

• you have performed any act or omission which is harmful or likely to be harmful to us, or any other third party, including other users and suppliers of Vocabulix; or,

• you made use of Vocabulix' Services to perform an illegal act, or for the purpose of enabling, facilitating, assisting or inducing the performance of such an act; or,

• you conveyed your password to another person; or,

• you are in debt to us or to another person with respect to any transactions made on or through the use of Vocabulix.

Refund Policy

We may charge fees for some features, lessons or services as mentioned in the previous section "Registration and User account". If your account is a subscription-based account, you can easily cancel your subscription at any time. There are no cancellation fees, though no refunds are provided for prorated periods. If you have any questions, please contact us via the email mentioned on the "Contact" page.

Links to other sites

Vocabulix contains links to content on other web sites. Specifically, the sections of Language Schools and Language Shops on Vocabulix and/or any Content posted by users on Vocabulix may consist of links to third party websites and other contents available through the Internet. We do not operate, or monitor these websites and contents. You may find them or the information and content posted therein not compatible with your requirements, or you may object to their content, or find such content to be annoying, improper, unlawful or immoral. By linking to a certain website, we do not endorse, or sponsor their content, or confirm their accuracy, credibility, authenticity, validity, integrity or legality. We assume no responsibility or liability for such third party websites or contents, or their availability or for any transactions made between you and such third party websites.

Vocabulix may include paid advertisements, sponsored or free links and commercial or non commercial information (the "advertisements"). By clicking the advertisements you may be transferred to a website of an advertiser or receive any other messages, information or offers from the advertiser and from others. We are not responsible for any of the advertisers' practices including their privacy practices, or for the content of their websites, information, messages or offers.

Requests to remove Content

We respect the intellectual property rights of others. Any requests to remove copyright infringing content from Vocabulix will be sent immediately in a written notification to email address mentioned in the Notices section below that includes the following:

(1) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;

(2) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

(3) Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted;

(5) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(6) A statement that the information in the notification is accurate, and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

After receiving a request to remove content on Vocabulix, we may act as we deem fit, in accordance with the applicable law. The decision whether to remove content from Vocabulix or not is in Vocabulix' sole discretion. No allegation, claim or demand shall be raised by any user in this matter against Vocabulix. Steps which are taken by Vocabulix following a request to remove content, will not use as an evidence for a copyright infringement.

Privacy

We respect your privacy. Our Privacy Policy explains the accepted privacy practices on Vocabulix and is incorporated by reference to the Terms. We may change the terms of this Policy from time to time and therefore recommend that you read it periodically.

Intellectual property

All rights, title and interest in and to Vocabulix (except for users' and third parties' Content), including patents, copyrights, trademarks, trade names, service marks, trade secrets and other intellectual property rights, and any goodwill associated therewith, are owned by, or licensed to us.

Unless otherwise expressly permitted in the Terms, you may not copy, distribute, display or perform publicly, sublicense, decompile, disassemble, reduce to human readable form, execute publicly, make available to the public, adapt, make commercial use, process, compile, translate, sell, lend, rent, reverse engineer, combine with other software, modify or create derivative works of any of the Content on Vocabulix, which is subject to intellectual property or other proprietary rights, either by yourself or by a third party on your behalf, in any way or by any means, including, but not limited to electronic, mechanical or optical means, other than expressly permitted in the Terms.

You may not adapt or use otherwise any name, mark or logo that is identical, or confusingly similar to any of our trademarks, service marks and logos.

You must avoid any action or omission which may dilute, or tarnish our goodwill.

You agree to abide by all messages and signs pertaining to proprietary rights, such as – Copyright mark [©] or Trademark [® or ™] accompanying the Content. You agree to retain and avoid distorting such signs and notices in any copy thereof.

We do not claim ownership over Content, such as text and images that you upload to Vocabulix. However, when you do so, you represent and warrant that you are the rightful owner of all rights to that Content or that you are licensed by the rightful owners to post and use such Content on Vocabulix, in accordance with the Terms.

If you originally created your lesson and marked it accordingly, your lesson will be shared with all users on Vocabulix.

If your lesson is based on certain other sources, then you must provide Vocabulix the name of all sources of your lesson (e.g., book, website, etc.). In such cases, you will be the only user with access to the lesson. You may not infringe third parties rights in any content.

Without derogating the foregoing, Vocabulix does not endorse or assume any responsibility with respect to Content posted by users on Vocabulix and marked improperly.

By submitting Content, including data, images, sounds, text or any other information for posting on Vocabulix (without explicitly indicating that such Content is based on certain other sources) and including any and all communications that you make with other users on or through Vocabulix, you grant us a royalty-free, worldwide, non-exclusive, perpetual and irrevocable license, to copy, distribute, display publicly, decompile, disassemble, reduce to human readable form, execute publicly, make available to the public, adapt, sub-license, make commercial use, process, compile, translate, sell, lend, rent, reverse engineer, combine with or incorporate into other Content, modify and create derivative works on Vocabulix, and in other communication and information networks, platforms, applications and services. You further waive all rights of attribution with respect to the use of your Content.

Changes in Vocabulix

We may from time to time change Vocabulix's layout, design or display, as well as the scope and availability of the Content and Services, without giving prior notice. Changes of this type by their very nature may cause inconvenience or even malfunctions at first. You agree and acknowledge that we do not assume any responsibility with respect to, or in connection with the introduction of such changes or for any malfunctions or failures that may result therefrom.

Site and service availability

The availability and functionality of Vocabulix depend on various factors and elements, including software, hardware and communication networks, and partially provided by third parties. These factors are not fault free. We do not warrant or guarantee that Vocabulix will operate without disruption, errors or interruptions, or that it will be accessible, or available at all times, or immune from unauthorized access or error free.

Termination of operation

We may at all times, in our sole discretion, terminate the operation of Vocabulix, or any part thereof, temporarily or permanently. We may not give any notice prior to the termination of Vocabulix. At any time, we may block, remove or delete any Content from Vocabulix, without maintaining any backup copy.

You agree and acknowledge that we do not assume any responsibility with respect to, or in connection with the termination of Vocabulix' operations and loss of any data as a result.

Amendments to the Terms

We may from time to time change the Terms, including any and all documents, forms and policies incorporated thereto. Substantial changes will take effect 30 days after we have posted an initial notification on Vocabulix' homepage or any other relevant web pages on Vocabulix, with respect to such changes. Other changes will take effect 7 days after their initial posting on Vocabulix, unless we amend the Terms to comply with legal requirements. In such cases the amendments will become effective immediately upon their initial posting, or as required.

You agree to be bound by any of the changes made in the Terms, including changes to any and all documents, forms and policies incorporated thereto. Continuing to use Vocabulix or any of the Services shall indicate you acceptance of the amended terms. If you do not agree with any of the amended terms, then you must avoid any further use of Vocabulix.

We advise you to periodically read the Terms, as they may change from time to time.

DISCLAIMER OF WARRANTY

VOCABULIX IS PROVIDED FOR USE AS IS. WE DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO VOCABULIX, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, NON-INFRINGEMENT, TITLE, COMPATIBILITY, PERFORMANCE, SECURITY OR ACCURACY. WE DO NOT WARRANT THAT THE CONTENT ON VOCABULIX IS CORRECT, ACCURATE, TOPICAL OR FITTED, AS APPROPRIATE. WE DO NOT WARRANT THAT VOCABULIX WILL OPERATE IN AN UNINTERRUPTED OR ERROR-FREE MANNER OR THAT WILL ALWAYS BE AVAILABLE OR FREE FROM ALL HARMFUL COMPONENTS. YOU AGREE AND ACKNOWLEDGE THAT THE USE OF VOCABULIX IS ENTIRELY, OR AT THE MAXIMUM PERMITTED BY THE APPLICABLE LAW, AT YOUR OWN RISK.

LIMITATION OF LIABILITY

WE, INCLUDING OUR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, SUB-CONTRACTORS AND AGENTS SHALL NOT BE LIABLE TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW, FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY OTHER DAMAGE, AND LOSS (INCLUDING LOSS OF PROFIT AND LOSS OF DATA), COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT, CONTRACTUAL, OR IN ANY OTHER FORM OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE USE OF, OR THE INABILITY TO USE VOCABULIX, OR FROM ANY FAILURE, ERROR, OR BREAKDOWN IN THE FUNCTION OF VOCABULIX, OR FROM ANY FAULT, OR ERROR MADE BY OUR STAFF OR ANYONE ACTING ON OUR BEHALF, OR FROM YOUR RELIANCE ON POSTED CONTENT ON VOCABULIX, OR FROM ANY COMMUNICATION WITH VOCABULIX, OR WITH OTHER USERS OR THIRD PARTIES ON OR THROUGH VOCABULIX, OR FROM ANY DENIAL OR CANCELATION OF YOUR USER ACCOUNT, OR FROM RETENTION, DELETION, DISCLOSURE AND ANY OTHER USE OR LOSS OF YOUR CONTENT ON VOCABULIX. IN ANY EVENT, YOUR SOLE REMEDY SHALL BE LIMITED TO THE CORRECTIONS OF SUCH ERRORS, OR MALFUNCTIONS.

Indemnification

You agree to indemnify, defend and hold harmless, us and our managers, directors, shareholders, employees, sub-contractors, agents and anyone acting on our behalf, at your own expense and immediately after receiving a written notice from us, from and against any damages, loss, costs, expenses and payments, including reasonable attorney’s fees and legal expenses, resulting from any complaint, claim, or demand, arising from, or in connection with your use of Vocabulix, the Content that you post on Vocabulix, any communications that you convey through Vocabulix, or your breach of the Terms, or any other terms, rules or regulations applicable to Vocabulix, or your violation, or infringement of other persons rights.

Governing Law

You and us agree that any controversy or claim arising from or pertaining to the use of Vocabulix shall be governed by Swiss law and be submitted to the exclusive jurisdiction of the courts of Switzerland.

Correction of errors

We put great effort in ensuring the reliability of information that is posted on Vocabulix. However, errors may sometimes occur in the translation of words, words' pronunciation or samples, or in other areas on Vocabulix. If you think that any information or publication on Vocabulix is erroneous, please contact us by using our contact details below.

Notices

We may contact you and send you notice via e-mail, regular mail, Short Message Services ('SMS'), fax messages and postings on Vocabulix. You may contact us by using the email below or by calling us at the phone number below. Our offices are located in Zurich, Switzerland. Please note that international calling rates will apply.

General

The Terms of Use constitutes the entire agreement between you and us with respect to the use of Vocabulix and supersedes any and all other agreements.

No waiver, concession, extension, representation, alteration, addition or derogation from the Terms by us, or pursuant to the Terms, shall be effective unless consented to explicitly and executed in writing by our authorized representative.

The Terms of Use shall take precedence over all documents, forms and policies incorporated thereto, which may conflict with the Terms of Use, unless specifically indicated in such documents that a certain provision is determined notwithstanding any of the provisions of the Terms of Use.

Failure on our part to demand performance of any provision in the Terms shall not constitute a waiver of any of our rights under the Terms.

Changes in Ownership

We may incorporate Vocabulix as a separate company or transfer ownerships rights and title in Vocabulix, to a third party, provided that your rights according to the Terms are not infringed by the transfer of ownership. In that case, all of your details and information pertaining to you will be passed on to the corporation receiving the rights in Vocabulix and you hereby give your prior consent thereto.

No Assignment

Your rights and obligations under the Terms are not assignable. Any attempted or actual assignment thereof by you shall be null and void without our prior explicit consent in writing.

Interpretation

The section headings in the Terms are included for convenience only and shall take no part in the interpretation, or construing of the Terms.

"Including", whether capitalized or not, means without limitation.

Severability

If any provision of the Terms is held to be illegal, invalid, or unenforceable by a competent court, then the provision shall be performed and enforced to the maximum extent permitted by law, and the remaining provisions of the Terms shall continue to remain in full force and effect.

Survival

The provisions of the disclaimer in the introduction, the intellectual property, disclaimer of warranty, limitation of liability and indemnification sections, shall survive the termination, or expiration of the Terms.

We respect your privacy. This policy explains the accepted privacy practices for our website at www.vocabulix.com ("Vocabulix"). It describes the ways we collect and use your personal information on Vocabulix and the rights and options available to you with respect to your information.

This policy is incorporated to the Vocabulix's Terms of Use (the "Terms of Use" or the "Terms").

Personal Information that we collect

When you register with Vocabulix, we may ask you to provide us with personal details such as your name and e-mail address and additional information like your age, mother tongue, reasons for learning another language, etc.

If you use our fee-based Services, we will ask you for your payment method details, such as credit card or PayPal details.

We will indicate the mandatory fields for completion. You are under no legal duty to provide us any personal details. However, certain features and capabilities of our Services are available to registered users only, and we will need you to provide us with the mandatory details, to provide you with these features and capabilities.

We may collect further information when you use any of the services on Vocabulix (the "Services"). For example, we may record the frequency and scope of your use of the Services, the duration of your sessions, the web pages that you visit, information that you read, content that you use or create, advertisements that you view or click on, your communications with other users and third parties on Vocabulix, the Internet protocol (IP) address and the name of the domain that serve you to access Vocabulix or any of the Services, and the geographic location of the computer system that you are using to log-in on Vocabulix.

We may automatically gather this information, through the use of log files. If you are registered with Vocabulix, the information we gather may be anonymous or in some instances personally identifiable. If you are not a registered user, then we will not knowingly make use of any information which personally identifies you, except as specifically indicated in the policy.

Further information may be collected when we exchange communications with you, for example, if you submit a request, suggestions or comments to us.

Personal information that you share

Vocabulix enables you to upload content and share it with other users, on your blog and/or profile page. The content that you upload, including text and images, will be accessible to your friends and other users on Vocabulix.

You must exercise caution and common sense when uploading your content, especially any personally identifiable information. At the very least you should demonstrate the same degree of caution as when publishing your content by any means other than the Internet.

At any time, you will be able to edit your profile page and update content that you uploaded thereon.

What do we do with your personally identifiable information?

We may use personally identifiable information for the following purposes :

• to enable you to use Vocabulix and to provide you with the Services. Our Services are based on subscriptions and on advertisements who may be based on your preferences and activities, to support our ability to provide you with the Services. Any use of your personal information for these purposes is an integral part of our Services;
• to improve and customize your experience on Vocabulix;
• to provide you with support and handle complaints;

How do we use aggregated information?
